Houghton Mifflin Harcourt Announces Launch of Initial Public Offering


BOSTON
 – Houghton Mifflin Harcourt Company (“HMH” or the “Company”) today announced the launch of its initial public offering of 18,250,000 shares of its common stock.  The initial public offering price is currently expected to be between $14.00 and $16.00 per share.  The shares are being offered solely by the Company’s existing stockholders and the Company will not receive any of the proceeds of the offering.  The offering is being made pursuant to a registration statement on Form S-1 filed with the U.S. Securities and Exchange Commission (the “SEC”).  Certain selling stockholders expect to grant the underwriters an option to purchase up to an additional 2,737,500 shares of common stock to cover over-allotments, if any.  The Company has applied to list its common stock on the Nasdaq Global Select Market under the symbol “HMHC.”
