Lawrence K. Fish

CHAIRMAN OF THE BOARD

Lawrence K. Fish has served as a member of the board of directors since August 2010 and Chairman of the Board since January 2011. Mr. Fish served as Chairman and Chief Executive Officer of Citizens Financial Group, Inc. (“Citizens”) from 2005 to 2007 and before as Chairman, President and Chief Executive Officer, from 1992, of Citizens. Mr. Fish is a member of the Board of Trustees of Massachusetts Institute of Technology. He serves on the boards of Textron Inc. and Tiffany & Co. In early 2010, Mr. Fish agreed to serve, on an interim basis, as Chief Executive Officer and on the board of NBH Holdings Corp. He has also been a director of Royal Bank of Scotland during the past five years.


Todd Boehly

DIRECTOR

Todd Boehly has served as a member of the board of directors since March 2010. Mr. Boehly has been a Managing Partner at Guggenheim Partners, LLC since 2006 and, since 2010, has also been in the office of the Chief Executive Officer. He joined the firm in 2001 and is currently chairman of the firm’s Credit Committee and a member of its Management Committee and Merchant Banking Investment Committee. Before joining Guggenheim, he was a vice president at J.H. Whitney & Co. He previously worked in the Leveraged Finance Group at Credit Suisse First Boston.


William Campbell

DIRECTOR

William Campbell has served as a member of the board of directors since February 2011. Mr. Campbell has been a Senior Advisor to the Chairman for JPMorgan Chase & Co. since 2007 and was Chairman and Chief Executive Officer of Chase Card Services from 2003 to 2006. From 2005 to 2007 he served as Chairman of Visa International. Mr. Campbell has also served as President of Sanoch Management, a consulting and investment firm, since 2006 and has served as a member of the board of directors of KeyW Corporation since July 2009.


Sheru Chowdhry

DIRECTOR

Sheru Chowdhry has served as a member of the board of directors since March 2010. Mr. Chowdhry joined Paulson & Co. Inc., a hedge fund, in 2004 as a Senior Vice President and has been a Managing Director and Head of Distressed & Bankruptcy Research since 2008. Previously, he was a research analyst at DebtTraders Inc., covering distressed and bankrupt securities, and an investment banker in the Mergers & Acquisitions Group at JP Morgan Securities.


William Hagerty

DIRECTOR AND CHAIR OF COMPENSATION COMMITTEE

William Hagerty has served as a member of the board of directors since March 2010. Mr. Hagerty is a co-founder of Hagerty, Peterson and Company LLC, a private equity investment firm. He is currently serving in the Cabinet of Governor Bill Haslam as the Commissioner of Economic and Community Development for the State of Tennessee. Previously, Mr. Hagerty served as Chairman of CyMed, Inc. from 2001 to 2007, Chief Executive Officer of ALAM Ltd. from 2007 to 2008 and Chief Executive Officer of Occusure LLC from 2010 to 2011, and he is currently a director at R.J. O’Brien.


John F. Killian

DIRECTOR AND CHAIR OF AUDIT COMMITTEE

John F. Killian has served as a member of the board of directors since January 2011. Mr. Killian was Executive Vice President for Verizon and served as Verizon’s Chief Financial Officer from March 2009 through October 2010. Prior to becoming CFO, Mr. Killian was President of Verizon Business from October 2005 until March 2009, the Senior Vice President and Chief Financial Officer of Verizon Telecom from June 2003 until October 2005, and the Senior Vice President and Controller of Verizon Telecom from April 2002 until June 2003. Mr. Killian serves on the Board of Directors at ConEdison Inc. and is a Vice-Chairman of the board of Providence College.


John (Jock) McKernan

DIRECTOR AND CHAIR OF NOMINATING AND GOVERNANCE COMMITTEE

John (Jock) McKernan has served as a member of the board of directors since August 2010. Mr. McKernan is currently Chairman of Education Management Corporation, a provider of postsecondary education in North America, where he served as Executive Chairman from February 2007 to December 2008 and Chief Executive Officer from September 2003 until February 2007. Mr. McKernan is also a director of BorgWarner Inc. and served as Governor of the State of Maine from 1987 to 1995.


Anthony Salcito

DIRECTOR

Anthony Salcito has served as a member of the board of directors since October 2010. Since 2009, Mr. Salcito has been Vice President of Worldwide Education for Microsoft Corporation. Previously, he served as General Manager of Education in the United States from 2003 to 2009.


Robert Schmitz

DIRECTOR

Robert Schmitz has served as a member of the board of directors since March 2010. Mr. Schmitz is the Founder of Quest Turnaround Advisors. He has over 30 years experience as a management consultant, CEO, and private equity investor, and his prior experience includes Chief Operating Officer of PTV Inc. from January 2003 to November 2010, Managing Director of Trust Company of the West from January 2003 to June 2007, and Principal at McKinsey & Company from June 1970 to September 1982. Mr. Schmitz previously served as Chairman and Chief Executive Officer at Richard D Irwin from September 1982 to September 1989, and served as Vice President of Dow Jones from September 1982 to September 1988.


Linda K. Zecher

DIRECTOR

Linda K. Zecher joined Houghton Mifflin Harcourt in September 2011 as President, Chief Executive Officer and Director. Previously, she served as Corporate Vice President of Microsoft's $8 billion Worldwide Public Sector organization, where she led a team of nearly 2,000 sales and marketing professionals serving government, education and healthcare customers in more than 100 countries. Prior to joining Microsoft in 2003, Linda held leadership positions with Texas Instruments, Bank of America, PeopleSoft, Oracle and Evolve Corp. She currently serves on the U.S. State Department’s Board for Overseas Schools, the Focused Ultrasound Surgery Foundation Advisory Council, and the Emily Couric Leadership Forum. Linda is also a former member of the Intelligence National Security Association, the Virginia Piedmont Technology Council, and James Madison University’s Board of Visitors.
